CipSoft GmbH, based in Regensburg, Germany (“CipSoft”) sells computer games (“Game”) developed by partners (“Partner”). This End-User Licence Agreement (“Agreement”) governs the terms under which CipSoft offers you these Games. By purchasing a Game, you accept this Agreement and confirm that you are legally competent in your country or have the permission of your parents or legal guardian to purchase the Game
The agreement is formed between you and CipSoft. For any questions or issues, please contact CipSoft, not the Partner.
CipSoft grants you a fee-based, non-exclusive and non-transferable licence for the permanent use of the selected Game for your personal, private use. This licence does not establish any ownership rights to the Game. All rights not explicitly mentioned in this Agreement remain with CipSoft or the Partner. Before purchasing, please check that your computer meets the system requirements of the Game and you have a working internet connection. The Game will be made available by the Partner or on a platform for download in compiled form. CipSoft will provide you with a licence key that allows you to access the Game. You must provide a valid email address for this purpose. The licence key may not be passed on to third parties. In some Games it may be possible to unlock additional game content for a fee or to purchase virtual goods. This is not the subject of this Agreement. The Partner reserves the right to further develop the Game and to release new versions from time to time.
The current valid price for the Game will be displayed to you during the ordering process. This price includes any applicable value added taxes and other excise or transaction taxes. Additional charges may apply for certain payment methods. CipSoft reserves the right to change the price at any time. You must pay the price in advance. By providing payment information, you affirm that you are the authorised user of the payment method used for this transaction. The licence key will only be provided to you when CipSoft, or an involved payment service provider, receives the payment. If the payment is subsequently withdrawn or returned, the licence key will be disabled.
You have the right to withdraw from this Agreement without giving any reason within 14 days of purchase, provided you have not yet used the licence key (“Right of Withdrawal”). To exercise the Right of Withdrawal, you must inform CipSoft in an unequivocal statement about your decision to withdraw from this contract (e.g. by sending a letter to CipSoft GmbH, Prüfeninger Str. 20, 93049 Regensburg, Germany or an email to [email protected]). You may use the withdrawal form, but it is not mandatory. To meet the withdrawal deadline, it is sufficient to send your communication concerning your exercise of the Right of Withdrawal before the withdrawal period has expired. If you withdraw from this Agreement, we will refund all payments received from you in connection with this Agreement without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. The refund will be made by the method of payment you used for the original payments unless you have expressly agreed otherwise with us.
The Game is provided “as is.” CipSoft disclaims all warranties or representations, in particular regarding the absence of errors and fitness for a particular purpose. You shall not hold CipSoft liable for any loss of profits or other damages arising out of or in connection with the use of the Game, unless such damages were caused by CipSoft’s wilful misconduct or gross negligence.
Should individual provisions of this Agreement be or become invalid in whole or in part, the remaining provisions shall not be affected thereby. The provision in question shall be replaced by a valid one that comes as close as possible to the intended economic purpose. The Agreement is subject to the law of the Federal Republic of Germany, excluding the provisions of international private law and the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Regensburg. CipSoft GmbH is neither willing nor required to take part in out-of-court dispute resolution.
